1. About these Terms

These Terms govern your use of the Sprault app and related Sprault services.

When you create a Sprault account and agree to these Terms, you enter into an agreement with Sprault Ltd.

You should read these Terms before creating an account.

If you download Sprault through Apple's App Store or Google Play, relevant terms imposed by the store provider may also apply. Those terms govern your relationship with the relevant store provider. These Terms govern your relationship with Sprault.

2. Eligibility

You must be at least 18 years old to create a Sprault account.

The current consumer service is intended for users in the United Kingdom.

You may use Sprault only for personal and lawful purposes.

3. What Sprault currently provides

Sprault provides financial organisation and planning tools.

The current service allows you to:

• create and manage an account;
• manually add financial accounts;
• manually add assets and liabilities;
• enter and update balances;
• track and calculate net worth;
• manually record income, expenses and transfers;
• view spending by category and merchant;
• create financial goals and track progress;
• create forecasts using assumptions you enter;
• manage relevant settings and notifications; and
• view selected third-party offers and discounts.

The current service is based primarily on information that you enter manually.

Sprault does not currently connect directly to your bank or receive Open Banking or Open Finance information.

The current service does not provide investment execution, brokerage, payments, credit, insurance or applications for financial products.

4. Free service and future paid features

Sprault is currently provided free of charge.

There is no paid consumer subscription in the current version.

Sprault does not currently charge users a subscription fee or receive commissions or referral fees for offers displayed in the current version.

We may introduce paid features, subscriptions, financial-product relationships or other commercial services in the future.

If we introduce a paid service:

• we will clearly explain the price before you are charged;
• we will explain any additional terms that apply;
• you will be asked to agree to the paid service where required; and
• you will not be charged simply because you already have a Sprault account.

5. Information you enter

Sprault relies on information and assumptions that you provide.

You are responsible for taking reasonable care to:

• enter information accurately;
• keep relevant information reasonably up to date;
• correct information when your circumstances change;
• review assumptions used for forecasts; and
• review outputs before using them to inform a decision.

Sprault does not independently verify every asset, liability, balance, transaction, income amount, expense, merchant, financial goal, interest rate, growth assumption or other piece of information you enter.

Outputs may therefore be affected by inaccurate, incomplete or outdated information.

You retain ownership of the personal information and content that you enter into Sprault.

You give Sprault a limited, non-exclusive right to host, copy, process, calculate from and display that information where reasonably necessary to:

• provide the service;
• secure the service;
• maintain the service;
• troubleshoot problems; and
• improve the service in accordance with our Privacy Policy.

This does not transfer ownership of your personal or financial information to Sprault.

6. Financial information and forecasts

Sprault is designed to help you organise and understand financial information.

Figures shown in Sprault, including:

• net worth;
• projected balances;
• forecasts;
• estimated payoff dates;
• estimated goal dates;
• charts;
• spending summaries; and
• other calculated outputs,

may depend on information you provide, assumptions you select and calculation methods used by Sprault.

Forecasts and projected values are estimates.

They are not guarantees of future results.

Actual outcomes may differ because circumstances can change, including:

• income;
• spending;
• interest rates;
• investment values;
• property values;
• inflation;
• tax rules;
• financial-product terms;
• unexpected costs; and
• other personal or economic circumstances.

You should take this uncertainty into account when using forecasts or estimated values.

7. Financial advice and recommendations

Unless Sprault expressly tells you otherwise in relation to a specific future service, the current Sprault service does not provide regulated financial, investment, tax, legal or accounting advice.

The current service does not recommend that you buy, sell, hold, apply for or use a particular financial product.

Information and calculations provided by Sprault are intended to support financial organisation and understanding.

You remain responsible for your financial decisions.

Where you require regulated or professional advice, you should consider obtaining advice from an appropriately qualified professional.

8. AI-powered features

Sprault may introduce AI-powered features in the future.

Unless we expressly state otherwise, AI-generated content will be provided for informational and organisational purposes.

AI features may use information you provide to generate outputs relevant to your circumstances. This does not by itself mean that an output is regulated financial advice or a recommendation to buy, sell, hold, apply for or use a particular financial product.

AI-generated information may be inaccurate, incomplete, outdated or may misunderstand information you provide.

You should review AI-generated information before relying on it.

Where a future AI feature has additional terms, limitations or privacy information, we may provide those alongside the feature.

If Sprault introduces a service that is regulated or subject to materially different legal requirements, we will provide the disclosures and terms applicable to that service.

9. Offers and third-party businesses

Sprault may display offers, discounts or money-saving opportunities from third-party businesses.

Unless expressly stated otherwise, these are displayed for general informational purposes and are not personalised financial recommendations or endorsements by Sprault.

Sprault is not currently paid for displaying offers in the current version.

Third-party businesses control their own:

• prices;
• eligibility requirements;
• availability;
• locations;
• exclusions;
• expiry dates;
• redemption rules; and
• other terms.

Offers may change, expire or be withdrawn after they are displayed in Sprault.

Information may occasionally become outdated or contain errors.

You should check the current offer and applicable terms directly with the relevant provider before relying on it.

Any purchase or other transaction with a third-party business is between you and that business.

External websites and services operate under their own terms and privacy policies.

Nothing in this section excludes any responsibility that Sprault is required by law to accept.

10. Account security

You must take reasonable steps to protect your account.

You should:

• provide accurate account-registration information;
• keep your device reasonably secure;
• keep passwords and verification codes confidential;
• not knowingly allow another person to use your account;
• notify us promptly if you suspect unauthorised access; and
• keep relevant contact information reasonably up to date.

You are not responsible for unauthorised activity caused by Sprault's own failure to use reasonable care and skill.

11. Acceptable use

You must not:

• use Sprault for unlawful or fraudulent purposes;
• use Sprault to harm another person;
• attempt to access another user's account or information;
• bypass access controls;
• interfere with the security or normal operation of the service;
• introduce malware or harmful code;
• intentionally overload or disrupt Sprault systems;
• probe or test security controls without permission;
• scrape or access the service through automated means in a way that creates unreasonable load or bypasses controls;
• reverse-engineer or decompile the service except where applicable law expressly permits it;
• impersonate another person;
• deliberately provide false information about your identity; or
• commercially exploit Sprault's software, branding or proprietary content without permission.

12. Intellectual property

Sprault Ltd and its licensors own the intellectual property in Sprault, including where applicable:

• software;
• source code;
• interfaces;
• designs;
• branding;
• logos;
• written and visual content;
• proprietary calculation methods; and
• other original materials.

This does not include information or content owned by you or a third party.

While you are entitled to use Sprault, we grant you a limited, personal, non-exclusive and non-transferable licence to use the service for its intended personal purpose.

This licence does not transfer ownership of Sprault's intellectual property to you.

Third-party names, logos, links and content remain the property of their respective owners.

If you provide feedback or suggestions about Sprault, you allow us to use that feedback to evaluate and improve the service without an obligation to compensate you or implement the suggestion.

13. Service availability

We aim to provide Sprault with reasonable care and skill.

We do not promise that the service will be available continuously or entirely free from technical errors.

We may temporarily restrict or suspend parts of the service where reasonably necessary for:

• maintenance;
• security;
• technical problems;
• legal requirements;
• service-provider failures; or
• circumstances outside our reasonable control.

Where reasonably practicable, we will provide notice of a significant planned interruption.

Nothing in these Terms limits rights you have under applicable consumer law.

14. Changes and updates to Sprault

We may update Sprault to:

• fix bugs;
• improve performance;
• improve security;
• maintain compatibility;
• introduce features;
• change features; or
• remove features that are no longer supported.

You may need to install an update or use a supported operating-system version to continue using certain features.

If a change materially alters the nature of the service you have agreed to use, we will provide appropriate notice where required.

15. Notifications and communications

You may be able to enable optional app or device notifications.

Your device may separately ask for permission before Sprault can send notifications.

You can normally change notification permission through your device settings.

We may send communications that are reasonably necessary to administer or secure your account, including:

• authentication messages;
• verification messages;
• security alerts;
• account notices; and
• important service information.

These service communications are separate from marketing.

Marketing communications are optional where consent is required.

You can withdraw marketing consent at any time.

16. Suspending or closing accounts

You may stop using Sprault at any time.

You can request deletion of your account through the app's settings.

We may suspend or close an account where reasonably necessary because of:

• serious or repeated misuse;
• attempted unauthorised access;
• a serious security risk;
• unlawful activity;
• material breach of these Terms; or
• a legal or regulatory requirement.

Where appropriate and lawful, we will provide information about the reason for the action.

Personal data associated with a closed or deleted account is handled in accordance with our Privacy Policy.

Provisions that by their nature continue after closure, including intellectual property, liability and dispute provisions, may continue to apply.

17. Our responsibility to you

Nothing in these Terms excludes or restricts liability where it would be unlawful for us to do so.

This includes liability for:

• death or personal injury caused by negligence;
• fraud or fraudulent misrepresentation;
• rights that cannot be excluded under consumer law; and
• any other liability that cannot legally be excluded or restricted.

We are responsible for loss or damage that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill.

Loss is foreseeable where it was obvious that it might happen or where both you and Sprault knew that it might happen when the relevant agreement was made.

Sprault is not responsible for a financial forecast differing from the eventual outcome merely because circumstances or assumptions later change.

Where a loss results from information or assumptions you provided being inaccurate, incomplete or outdated, this may affect the extent to which Sprault is responsible.

Sprault is not responsible for the independent acts or omissions of a third-party business simply because Sprault displayed a link or offer from that business.

Because the current Sprault service is provided for personal consumer use, we are not responsible for business losses arising from using it for a business purpose.

These provisions apply only to the extent permitted by law and do not affect your statutory consumer rights.

18. Privacy

Our Privacy Policy explains how Sprault collects, uses and protects personal data.

You should read the Privacy Policy alongside these Terms.

19. Changes to these Terms

We may update these Terms where reasonably necessary to reflect:

• changes to Sprault;
• changes to applicable law or regulation;
• security requirements;
• new features or services; or
• changes to our business.

We will update the date shown at the top when these Terms change.

Where a change is material, we will provide reasonable notice where required.

Where the law requires your agreement to a change, we will ask you to agree to the updated Terms.

If you do not wish to accept a change requiring your agreement, you may stop using Sprault and delete your account.

20. General

If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply.

If we do not immediately enforce a provision of these Terms, this does not mean that we have waived our right to enforce it later.

You may not transfer your rights under these Terms to another person without our consent.

We may transfer our rights and obligations in connection with a financing, restructuring, merger, acquisition or sale of the Sprault business, provided that doing so does not reduce rights that you have under applicable law.

21. Governing law and courts

These Terms are governed by the law of England and Wales.

If you live in England or Wales, the courts of England and Wales may hear disputes relating to these Terms.

If you live in Scotland, you may bring proceedings in Scotland where you are entitled to do so.

If you live in Northern Ireland, you may bring proceedings in Northern Ireland where you are entitled to do so.

You continue to benefit from mandatory consumer protections that apply where you live.
